computer not booting

I purchsed new motherboard asus P4P800S, installled it with celeron 2.6 ghz, and 256 mb ram and nvidia geforce 64 Mb video card, i installed windows 2000 , and in first time computer booted , but after few hours it started giving problem of Lan , thereby disconnecting the internet. On updating the drivers, during rebooting process overcloaking message was given , so to cleared the RTC RAM , by changing the jumper as mentioned in the manual , but after that the computer didnt booted, someone kindly help.

It could be anything. Bad motherboard, memory, CPU, power supply, video card... overheating.

Take everything out and start from scratch adding slot cards and drives one at a time.

did u remember to set the cmos jumper back to it's original position?
use the jumper to clear the cmos:
disconnect the power cable and everything else from the back i/o
press and hold down the computer power button for at least 15seconds
set the processor jumpers to the automatic settings position
move the jumper to the clear cmos position for about ten seconds
do not star overclocking the cpu 'till u get the system running stable with all the drivers for sond and video and what not u have in there.
the asus boards have this feature for overclocking that if the settings are too high and the system crash all u have to do is reboot or power off and on and then u get the message saying that u should enter the bios setup utility adjust the settings.
dont forget that when overclocking is best when u clock up the cpu and not the board or bus clock 'cause if u do that u will be clocking up the agp bus as well. (among other things).
disable the onboard video and change the order to agp first
if there is any shared video memory u should change it to N/A
memory speed should be set to host clock and auto settings at first and then, after reading a lot about all the memory options and understanding them, u can try faster settings.
if u have a cd-rw drive make it the slave drive with your main hard disk
and do not install it on the same channel with another cd rom drive.
