Going crazy...STUPID PC... :-(

ok i read through some of the similar problems ppl are having but nothing really seems to help... heres the deal:
situation #1: i just bought an ipod yesterday and instaled itunes. while running itunes i tried converting any and all wma files to mp3. this is where my pc suddenly decides to jsut turn off by itself. i have to unplug the surge and wait like 30 seconds b4 my pc can turn on again. (i noticed that my cpu usage shot up from 0-1% to 99-100%)
situation #2: im playing a game (such as AOE 2 or RON) and like 15 minutes into gameplay the pc once again jsut turns off by itself (as if the light jsut went out) again same process unplug or switch of surge for a while then turn back on
situation #3: downloading various things at once (5-6-7 files) or running like a free virus scan online or the like and it just turns off...
these are the 3 situations that ive noticed result in the computer just turning off. other times it just turns off by itself at random times but these are rare and the situations above are almost guaranteed to make my pc jsut turn off.

intel pentium 4 2.66 ghz
1 gb of ram (2 stick of 512)
ECS MB (L4S8A2)
ATI all-in-wonder 9700 pro
creative sound blaster audigy 2 platinum
350 watt power supply
4 fans, 1 cd burner, 1 dvd rom, 1 external dvd writer, floppy
XP home with SP2
if u need any other specs let me know

you might be a bit short on power, but check your temps first.

Most likely one of the fans is broke or clogged (sometimes it's the cpu fan, sometimes the PSU fan, sometimes the case fan(s)). PC overheats & turns itself off - wait for it to cool down and bingo it's up & running again.
NB. DON'T try replacing the PSU fan (PSU is a 'sealed unit' for a very good reason - mucking around inside one is the quickest way to fry your PC (or maybe yourself)).

He's probably not short on power. 300Watt should even be enough. Its most likely that the cpu is getting to hot. Also try the Video Card.

ive tried out a couple things and im trying to save up some money for a new PS, a friend of mine said that it may be my motherboard that is messed up and i should consider replacing it with a new one. could this be a possibilty? thanx for the help

Psu might be a cheap brand!....You may be runnning it a bit too close with that wattage....

motherboards can cause any problem you can possibly imagine, which is why everything else is checked first 
it shouldnt be the video card, as it does this during a virus scan and downloading. its not a symptom of ram problems, so its most likely the cpu, motherboard or power supply.
