XP USB/BIOs Problems

Hi Im having a little trouble with my machine and I was wondering if anyone can help me out. My story is rather long but anyway. I've had my medion pc for just over a year and recently due to it being a family computer and such its got really bogged down with crap, internet and otherwise. Then it started to just crash if left untouched. Then one day It crashed and after I turned it back on it just stuck on the memory testing it just said memory testi and that was that. The only way to get it past that was to use the bios fail safe options. For some reason this had completely lost my installation of xp and not having the original disk I went about aquiring another. I eventually got a copy of a friend and installed it. I backed up all my necessary data then formatted both my c: and d: drive. I re-installed xp but for some reason it wouldn't find my usb drives there wasn't even the option in device manager. After days of messing around I found that the fail safe options had disable my onboard usb connecters (or words to that effect) I re-enabled them and turned off the chipaway virus scan thing. But doing this makes the memory testi thing come back and my computer is useless. So my first question is what the hell is going on there? And my second is, after enabling the usb it found my usb ports but the drivers on the recover cd dont work. I have found out since that my copy of xp is lower than service pack 1 which means support for usb 2.0 is limited or something along those lines. So I tried to install service pack 1 (and 2) but it just says my key is invalid and won't install it. So I got another xp copy this time service pack 2 but the installation of this just does not work it reboots my machine when there is 30mins or so left everytime. Is there any possible way that I can either a) update my version of xp b) find some sort of driver or patch that will make my usb ports actually functional. All the other drivers on the recover cd work fine. I did try a system restore with the medion cd but I won't go into what happened with that. I'll try my best to remember my machines spec:
Athlon xp 3200+
512mb ram
uh dunno what else is relevant it has 2 usb ports at the back and 4 on the front which is part of a mulitmedia section that has ports for firewire, smartmedia etc.

youll have to address the memory problem first. check that your dimms are identical. clearing the cmos may help if they are. if they arent, you might get around the issue by slowing down the timing. run a memory tester with whatever settings you can get the system to boot with. www.memtest.org
