If you can, you'll want to remove the motherboard from your case if it's attached to a tray (thereby letting you take out the motherboard and work with it better, but not have to go through the hassle of reinstalling it). If you can't do this, then don't worry about it.
More importantly, you'll want to (to be safe) disconnect all power cables (or at least the ones close to the CPU socket). Pull the plug on your PC, pull out the power cables that go into the heatsink & fan and the CPU socket and you should be fine.
Next, after you've taken off the heatsink, you should look at the metal plate on the heatsink (the part that touches the CPU) and see if the thermal paste/grease on it is still fresh or looks good at all. If not, you may want to wipe it off and put on a fresh layer. I believe you can remove it easily with rubbing alcohol.
Once you've disconnected the power and checked out the heatsink, just slap in your CPU, lock it down, reattached the heatsink and reconnect all the power and you should be fine.
Just remember to ground yourself before and during the process (a wristband with a cord attached to an alligator clip is standard, but there are other ways). If you discharge any static from your body to these parts, you might wind up destroying something unintentionally.

1) unplug pc and put it on a desk (don't wanna work on carpet)
2) put on esd wrist band if you do not have one, touch something metal(not a chip) or touch the metal on your case
3) have the pc plug into the wall and turn on , while it is on the desk
4)leave it on for a little while (heat up thermal grease)
5)again if you dont have an esd band touch something metal again
6)take off heatsink
7)lift the lever to take out the old cpu
8) put new own back in
9) apply thermal grease on the top (dont get it on another chip like ur motherboard)
10) apply ur heatsink
