Upgrading Laptop Memory from 2GB to 4GB, Why 64-Bit OS?

I want to upgrade by laptop memory from 2GB to 4GB. But I read it in AnandTech that if I want to upgrade my memory to 4GB I would want to install a 64-bit operating system in that case. My question is why would I want a 64-bit operating system with my RAM upgrade? Is it because the limitation of 32-bit OS to recognize 4GB or RAMs? If that is the case is there any remedy to this situation? I have heard just switch the two memories if that happens, but does that actually work? Also, if the 32-bit OS does not recognize all of the 4GB of RAMs, does that mean it will only utilize the amount it recognizes, or does that merely mean that less than 4GB of RAM will show up on system information, but in reality the computer utilizes all 4GB of RAMs?

EDIT: By the way, I use Windows XP Professional, 32-bit.

32-bit OS's will not use the 4GB, it would only use up to the 3GB. 64-bit XP does run noticeably faster than the 32-bit version. The downside is finding drivers for 64-bit OS's. I wouldn't recommend upgrading to 4GB, 3GB is plenty. I noticed no increase in performance going from 3GB to 4GB, but did notice an increase in performance going from 2GB to 3GB.
